1. Introduction

Welcome to joeywallet.xyz (“Joey Wallet,” “we,” “us,” or “our”), owned and operated by Joey Wallet Inc. These Terms of Service (“Terms”) govern your access to and use of the joeywallet.xyz website(s), our APIs, mobile app (the “App”), and any other software, tools, features, or functionalities provided on or in connection with our services—including, without limitation, using our services to view, explore, and create tokens and to connect directly with others to purchase, sell, or transfer tokens on public blockchains (collectively, the “Service”). “Token” in these Terms means a non-fungible token or similar digital item implemented on a blockchain (such as the XRP Ledger).

For purposes of these Terms, “user,” “you,” and “your” mean you as the user of the Service. If you use the Service on behalf of a company or other entity, then “you” includes both you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with authority to bind it to these Terms, and (b) you agree to these Terms on the entity’s behalf.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION AND AFFECT YOUR LEGAL RIGHTS. AS OUTLINED IN SECTION 20 BELOW, THEY INCLUDE A MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER WHICH (WITH LIMITED EXCEPTIONS) REQUIRE ANY DISPUTES BETWEEN US TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN BY A JUDGE OR JURY IN COURT.

BY CONNECTING YOUR WALLET AND/OR CLICKING TO ACCEPT AND/OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.

Joey Wallet is not a wallet provider, exchange, broker, financial institution, money services business, or creditor. We provide a peer-to-peer Web3 service that helps users discover and directly interact with one another and with tokens available on public blockchains. We do not have custody or control over the tokens or blockchains you interact with, nor do we execute or effectuate purchases, transfers, or sales of tokens. To use our Service, you must use a third-party wallet that allows you to transact on blockchains.

Joey Wallet is not a party to any agreement between users. You bear full responsibility for verifying the identity, legitimacy, and authenticity of tokens you purchase from third-party sellers using the Service, and we make no claims about the identity, legitimacy, functionality, or authenticity of users or tokens (and any content associated with such tokens) visible on the Service.

We reserve the right to change or modify these Terms at any time and in our sole discretion. If we make material changes, we will use reasonable efforts to provide notice—such as via an announcement on the Service or by updating the “Last Updated” date—and your continued use of the Service will constitute acceptance of those changes. It is your responsibility to review these Terms periodically.

2. Accessing the Service

Your blockchain address functions as your identity on joeywallet.xyz. You will need a blockchain address and a third-party wallet to access the Service. Your Account will be associated with your linked blockchain address; you may add additional information, such as a profile picture, to your Account.

By using your wallet with the Service, you agree you are bound by the wallet provider’s terms and conditions. Wallets are not operated by, maintained by, or affiliated with Joey Wallet, and we do not have custody or control over their contents. We accept no responsibility or liability for your use of a wallet and make no representations regarding compatibility. You are solely responsible for keeping your wallet secure and should never share your credentials or seed phrase. If you experience wallet issues, contact your wallet provider. You are also responsible for your Account and any associated wallet; notify us immediately of any suspected security breaches at joey@joeywallet.xyz.

You represent and warrant that you will comply with all applicable laws when using the Service. Without limiting the foregoing, by using the Service you represent and warrant that: (a) you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to a comprehensive U.S. embargo (“Embargoed Jurisdiction”); (b) you are not subject to any sanction administered by the U.S. Government, any other government, or the United Nations (“Sanctions”); (c) you are not owned or controlled, directly or indirectly, by any person subject to Sanctions or located in an Embargoed Jurisdiction; and (d) none of your officers, managers, directors, shareholders, or authorized representatives is subject to Sanctions or located in an Embargoed Jurisdiction. These representations and warranties are ongoing. If you access the Service outside the United States, you are solely responsible for compliance with local laws.

Joey Wallet may require additional information or documents in certain circumstances (e.g., at government request or to investigate a breach). We may disable your Account until such information is provided. Failure to provide complete and accurate information may result in a refusal to restore your access.

Your access may be interrupted from time to time for maintenance or other reasons. If your Account is inactive for eight months or longer, we may disable it or reassign your username or URL.

Users must be at least 18 years old. If you are 13–17 years old, you may use Joey Wallet only through a parent or guardian’s Account with their approval and oversight. Accounts for users under 13 are prohibited.

3. Ownership

The Service—its “look and feel” (text, graphics, images, logos, page headers, button icons, scripts), proprietary content, information, and other materials, including the Joey Wallet logo and designs—is the proprietary property of Joey Wallet or our affiliates, licensors, or users, as applicable. You agree not to take any action inconsistent with these ownership interests. We and our affiliates reserve all rights to the Service and its content, including the exclusive right to create derivative works.

Joey Wallet’s name, logo, trademarks, and any product or service names are our intellectual property and may not be used without prior written permission. You may not use any metatags or hidden text incorporating “Joey Wallet” without permission. The Service’s design constitutes our trade dress.

All third-party trademarks and product names mentioned in the Service belong to their respective owners. References to products, services, or information do not imply endorsement by Joey Wallet.

We welcome feedback (“Feedback”). By submitting Feedback, you grant Joey Wallet a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, modify, and display it for any purpose. You relinquish any rights in that Feedback.

4. License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, nontransferable, nonsublicensable, personal license to access and use the Service. If software or content owned or licensed by us is made available to you, you may download a single copy of the App for personal, non-commercial use only.

5. Key Management & Backup

You are solely responsible for safeguarding your private keys, PIN, biometric locks, and recovery (seed) phrase. Joey Wallet does not store or have access to your private keys or recovery phrase and cannot recover them if lost. Loss of your recovery phrase or credentials may result in permanent loss of access to your tokens.

6. Security Best Practices

We recommend that you:
• Enable device-level encryption and use strong PINs or biometrics.

• Keep the App up to date at all times.

• Never share your seed phrase, private keys, or PIN with anyone.

• Beware of phishing attempts: always verify you are using joeywallet.xyz or the official App.

7. Beta Features & Updates

We may offer beta, experimental, or pre-release features (“Beta Features”). Beta Features may be unstable and could cause loss of data or require you to update or reinstall the App. Use them at your own risk.

8. Third-Party Integrations

The App may include links or integrations with decentralized exchanges, DeFi protocols, fiat on-/off-ramps, hardware wallets, or other third-party services (“Third-Party Integrations”). These are provided “as is” with no warranty. Your use of any Third-Party Integration is subject to the integration partner’s terms.

9. App Store Distribution

The App may be distributed through Apple’s App Store, Google Play, or other app marketplaces. App availability, updates, and removal are subject to those marketplaces’ policies, and you must comply with their terms.

10. Data Collection & Analytics

We collect crash reports and usage metrics to improve the App’s stability and features. Crash reports may include your blockchain wallet address to help diagnose issues. No additional personal data is collected. You may opt out of analytics in the App settings.

11. Third-Party Content and Services

Joey Wallet makes no representations about third-party content visible through our Service; you are responsible for verifying legitimacy, authenticity, and legality. Tokens may be subject to separate “Purchase Terms” between buyers and sellers; we are not a party to those agreements.

The Service may link to third-party websites or applications and display third-party materials. Those sites are not under our control, and you use them at your own risk. We do not endorse or review third-party content.

12. User Conduct

We reserve the right to act (with or without notice) if we believe you have violated these Terms, including disabling your access to tokens, blocking your Account, or other actions.

You agree not to:
• Use another user’s Account without authorization.

• Impersonate another person or entity.

• Claim a Joey Wallet username for resale or goodwill derivation.

• Access the Service from a blocked blockchain address.

• Distribute spam or unwanted tokens.

• Use the Service in a way that damages, overburdens, or impairs it.

• Bypass access controls (e.g., rate limits).

• Use the Service for unauthorized commercial purposes.

• Use unauthorized automated means (bots, scrapers) to access the Service.

• Reverse engineer or decompile the Service.

• Sell or resell the Service or evade our fees.

• Manipulate metrics or search rankings.

• Use Service data for direct marketing.

• Engage in money laundering, terrorist financing, or other illicit activity.

• Use the Service on behalf of sanctioned persons or jurisdictions.

• Offer or trade securities, commodities, options, or debt instruments.

• Create tokens tied to securities offerings.

• Engage in price manipulation, fraud, or deceptive activity.

• Buy, sell, or transfer stolen or fraudulently obtained items.

• Infringe intellectual property or other rights.

• Create or display illegal, hateful, or self-harm content.

• Interfere with other users’ enjoyment of the Service.

NSFW content is permitted but may be labeled and handled differently. You are solely responsible for verifying authenticity and legitimacy of any token, collection, or account.

13. Intellectual Property Rights

By creating, submitting, posting, or displaying content on the Service, you grant Joey Wallet a worldwide, non-exclusive, sublicensable, royalty-free license to use that content to provide, promote, and improve the Service. You represent and warrant you have rights to grant this license. We will remove content in response to valid DMCA notices; repeat infringers will have their access terminated. To file a claim, contact joey@joeywallet.xyz.

14. Communication Preferences

By creating an Account, you consent to receive electronic communications (email, push, text) from Joey Wallet, including service announcements and promotional offers. You may opt out of promotional messages by following unsubscribe instructions, though some notices (e.g., critical service updates) are mandatory.

15. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Joey Wallet and its affiliates, officers, directors, employees, and agents from all claims, liabilities, losses, damages, and expenses arising out of (a) your use or misuse of the Service, (b) any Feedback you provide, (c) your breach of these Terms, or (d) your violation of any third-party right.

16. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” JOEY WALLET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT OR TOKENS ARE ACCURATE OR FREE OF HARMFUL COMPONENTS. YOU ASSUME ALL RISK.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JOEY WALLET WILL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR INCIDENTAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF \$100 OR THE AMOUNT PAID BY YOU TO JOEY WALLET IN CONNECTION WITH THE ITEMS GIVING RISE TO THE CLAIM.

18. Privacy Policy

Our Privacy Policy (available on the Service) describes how we collect and use personal data. By using the Service, you consent to our Privacy Policy.

19. Modifications to the Service

We may modify, suspend, or discontinue the Service (or any part) at any time without liability.

20. Dispute Resolution; Arbitration

Informal Resolution: You and Joey Wallet agree to attempt to resolve disputes by emailing joey@joeywallet.xyz and engaging in good-faith discussions for at least 30 days before initiating arbitration or small claims court.
Arbitration Agreement: Except for small claims or intellectual property injunctions, all disputes will be resolved by binding arbitration under the Federal Arbitration Act, administered by JAMS under its Streamlined Rules for claims under \$250,000 and its Comprehensive Rules otherwise. The arbitrator may award the same relief as a court. You and Joey Wallet waive the right to a jury trial.

Class Action Waiver: Disputes must be arbitrated on an individual basis; no class or representative claims.

Severability: If any part of this section is unenforceable, it will be severed, and the remainder will remain in effect. This section survives termination of these Terms.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any non-arbitrable disputes will be brought exclusively in the state or federal courts in Sheridan County, Wyoming.

22. Termination

If you breach these Terms, all licenses granted to you will terminate automatically. We may suspend or terminate your Account at any time for any reason, without notice or liability.

23. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be struck, and the remainder will remain in full force and effect.

24. Injunctive Relief

You agree that a breach of these Terms may cause irreparable harm to Joey Wallet, entitling us to injunctive relief in addition to any other remedies.

25. California Residents

California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services, Department of Consumer Affairs, 1625 North Market Blvd., Suite N–112, Sacramento, CA 95834; (800) 952-5210.

26. Export Laws

You agree not to export or re-export the Service or related technology in violation of U.S. export laws and regulations.

27. Survival

Provisions that by their nature should survive termination—such as ownership, indemnification, disclaimers, limitations of liability, arbitration, and governing law—will continue in effect after termination.

28. Miscellaneous

These Terms constitute the entire agreement between you and Joey Wallet regarding the Service and supersede all prior agreements. You may not assign these Terms without our consent. No waiver by us will be effective unless in writing. The Service is operated in the United States. If you access the Service from elsewhere, you do so at your own initiative and are responsible for compliance with local laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Except as provided herein, these Terms are for the benefit of the parties and do not create any third-party beneficiary rights.

We respect your privacy and are committed to protecting any information we collect from you while you use our mobile application, website, APIs, or related services (collectively, the “Service”). This Privacy Policy explains how we collect, use, share, and safeguard your information. By using Joey Wallet, you agree to the practices described in this policy. • Crash Reports & Feedback: when you report a problem or submit feedback, we collect any details you include, which may include your blockchain wallet address to help us diagnose and fix issues.

• App Settings & Preferences: themes, notification settings, language, and other customizations you configure within the App.

2.2 Information Collected Automatically
• Device and Usage Data: device model, operating system version, app version, unique device identifiers, and timestamps.

• Analytics & Crash Reporting: we use third-party analytics and crash-reporting services that collect anonymized usage metrics (screens viewed, taps, session length) and technical crash details—potentially including your wallet address—to help us improve stability and performance.

• Log Data: IP address, mobile network carrier, referring URL, and other diagnostic data sent by your device.

2.3 Public Blockchain Data
Because Joey Wallet interacts with public blockchains, we may retrieve and display on-chain data—such as wallet addresses, balances, transaction histories, and NFT holdings—to facilitate your use of the App. That data is publicly available on the blockchain and is not treated as “personal” by us.

3. How We Use Your Information

We use the information we collect to:
• Operate, maintain, and enhance the App and related services.

• Diagnose and fix technical issues, including by analyzing crash reports.

• Provide support and respond to your requests or inquiries.

• Personalize your experience by remembering your settings and preferences.

• Send you account-related notifications (e.g., security alerts, updates).

• Send you marketing or promotional communications, if you opt in.

• Comply with legal obligations, enforce our Terms of Service, and protect our rights.

4. How We Share Your Information

4.1 Service Providers

You can opt out of all marketing communications by following the “unsubscribe” link in any promotional email or by updating your preferences in-App. You will continue to receive transactional messages (e.g., security alerts).

6. Data Retention

We retain your information only as long as necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce our agreements. Crash logs and analytics data are retained for improving the App and then deleted or anonymized.

7. Data Security

We implement industry-standard administrative, technical, and physical safeguards to protect your information. However, no security system is impenetrable. You are responsible for safeguarding your device, PINs, biometrics, private keys, and recovery phrase. Notify your wallet provider and us immediately if you suspect a security issue.

8. Children’s Privacy

Joey Wallet is intended for users aged 18 or older. We do not knowingly collect information from children under 13. If we learn that personal data of a child under 13 has been collected, we will promptly delete it.

9. International Transfers

Your data may be processed and stored in the United States or other countries whose privacy laws may differ from your own. By using the Service, you consent to the transfer, processing, and storage of your information across borders.

10. Changes to This Policy

We may update this Privacy Policy from time to time. When we do, we will revise the “Last Updated” date and post the new policy at https://joeywallet.xyz/privacy. Your continued use of the Service after revisions constitutes acceptance of those changes.
