1. Introduction
Welcome to joeywallet.xyz ("Joey Wallet," "we," "us," or "our"), owned and operated by Joey Wallet Inc. These Terms of Service ("Terms") govern your access to and use of the joeywallet.xyz website(s), our APIs, mobile app (the "App"), and any other software, tools, features, or functionalities provided on or in connection with our services—including, without limitation, using our services to view, explore, and create tokens and to connect directly with others to purchase, sell, or transfer tokens on public blockchains (collectively, the "Service"). "Token" in these Terms means a non-fungible token or similar digital item implemented on a blockchain (such as the XRP Ledger).
For purposes of these Terms, "user," "you," and "your" mean you as the user of the Service. If you use the Service on behalf of a company or other entity, then "you" includes both you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with authority to bind it to these Terms, and (b) you agree to these Terms on the entity's behalf.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION AND AFFECT YOUR LEGAL RIGHTS. AS OUTLINED IN SECTION 20 BELOW, THEY INCLUDE A MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER WHICH (WITH LIMITED EXCEPTIONS) REQUIRE ANY DISPUTES BETWEEN US TO BE RESOLVED THROUGH INDIVIDUAL ARBITRATION RATHER THAN BY A JUDGE OR JURY IN COURT.
BY CONNECTING YOUR WALLET AND/OR CLICKING TO ACCEPT AND/OR USING OUR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICE.
Joey Wallet is not a wallet provider, exchange, broker, financial institution, money services business, or creditor. We provide a peer-to-peer Web3 service that helps users discover and directly interact with one another and with tokens available on public blockchains. We do not have custody or control over the tokens or blockchains you interact with, nor do we execute or effectuate purchases, transfers, or sales of tokens. To use our Service, you must use a third-party wallet that allows you to transact on blockchains.
Joey Wallet is not a party to any agreement between users. You bear full responsibility for verifying the identity, legitimacy, and authenticity of tokens you purchase from third-party sellers using the Service, and we make no claims about the identity, legitimacy, functionality, or authenticity of users or tokens (and any content associated with such tokens) visible on the Service.
We reserve the right to change or modify these Terms at any time and in our sole discretion. If we make material changes, we will use reasonable efforts to provide notice—such as via an announcement on the Service or by updating the "Last Updated" date—and your continued use of the Service will constitute acceptance of those changes. It is your responsibility to review these Terms periodically.
2. Accessing the Service
Your blockchain address functions as your identity on joeywallet.xyz. You will need a blockchain address and a third-party wallet to access the Service. Your Account will be associated with your linked blockchain address; you may add additional information, such as a profile picture, to your Account.
By using your wallet with the Service, you agree you are bound by the wallet provider's terms and conditions. Wallets are not operated by, maintained by, or affiliated with Joey Wallet, and we do not have custody or control over their contents. We accept no responsibility or liability for your use of a wallet and make no representations regarding compatibility. You are solely responsible for keeping your wallet secure and should never share your credentials or seed phrase. If you experience wallet issues, contact your wallet provider. You are also responsible for your Account and any associated wallet; notify us immediately of any suspected security breaches at [email protected].
You represent and warrant that you will comply with all applicable laws when using the Service. Without limiting the foregoing, by using the Service you represent and warrant that: (a) you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to a comprehensive U.S. embargo ("Embargoed Jurisdiction"); (b) you are not subject to any sanction administered by the U.S. Government, any other government, or the United Nations ("Sanctions"); (c) you are not owned or controlled, directly or indirectly, by any person subject to Sanctions or located in an Embargoed Jurisdiction; and (d) none of your officers, managers, directors, shareholders, or authorized representatives is subject to Sanctions or located in an Embargoed Jurisdiction. These representations and warranties are ongoing. If you access the Service outside the United States, you are solely responsible for compliance with local laws.
Joey Wallet may require additional information or documents in certain circumstances (e.g., at government request or to investigate a breach). We may disable your Account until such information is provided. Failure to provide complete and accurate information may result in a refusal to restore your access.
Your access may be interrupted from time to time for maintenance or other reasons. If your Account is inactive for eight months or longer, we may disable it or reassign your username or URL.
Users must be at least 18 years old. If you are 13–17 years old, you may use Joey Wallet only through a parent or guardian's Account with their approval and oversight. Accounts for users under 13 are prohibited.
3. Ownership
The Service—its "look and feel" (text, graphics, images, logos, page headers, software, code, content, organization, design, compilation, and other matters related to the Service) is protected under copyright, trademark, and other intellectual property laws. We own the name "Joey Wallet" and all associated logos and designs. You agree to respect all legal rights attached to the Service.
4. License to Use the Service
We grant you a personal, non-commercial, non-exclusive, revocable, non-transferable license to use the Service. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Service as provided by us, in the manner permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit those restrictions or you have our written permission.
5. Key Management & Backup
You understand and agree that you are solely responsible for managing and maintaining the security of your private keys and mnemonic phrases associated with your wallet. Failure to do so may result in the loss of access to your digital assets. We strongly recommend that you back up your wallet and private keys regularly.
6. Security Best Practices
You agree to implement reasonable and appropriate measures designed to help secure your access to and use of the Service. In the event that you become aware of any unauthorized access to or use of your Account, you shall promptly notify us.
7. Beta Features & Updates
We may offer beta features or updates to the Service from time to time. These features may be in testing and development phases, and their performance may not be as reliable as established services. Your use of beta features is at your own risk, and we are not liable for any issues arising from their use.
8. Third-Party Integrations
The Service may allow you to connect with third-party websites, services, or other content. We do not control or endorse these third parties and are not responsible for their content, products, or services. Your use of third-party services is at your own risk and subject to their terms and privacy policies.
9. App Store Distribution
To the extent you access the Service through a mobile application obtained from the Apple App Store or Google Play Store, you acknowledge and agree that Apple or Google, respectively, are third-party beneficiaries to these Terms and have the right to enforce these Terms against you.
10. Data Collection & Analytics
We may collect data about your use of the Service, including but not limited to IP addresses, browser types, and usage patterns. This data is used to improve the Service and provide a better user experience. Please refer to our Privacy Policy for more information on how we collect, use, and share your data.
11. Third-Party Content and Services
The Service may contain links to third-party websites, services, or other content that are not owned or controlled by us. We are not responsible for any third-party content or services. Your interactions with third parties are solely between you and the third party, and you agree that we will not be responsible for any loss or damage incurred as the result of any such interactions.
12. User Conduct
You agree not to engage in any of the following activities:
- Violating any laws or regulations.
- Infringing on the intellectual property rights of others.
- Transmitting malicious code or viruses.
- Interfering with the operation of the Service.
- Collecting or harvesting any information about other users.
- Engaging in any fraudulent or deceptive activities.
13. Intellectual Property Rights
All content and materials available on the Service, including but not limited to text, graphics, website name, code, images, and logos are the intellectual property of Joey Wallet Inc., and are protected by applicable copyright and trademark law. Any unauthorized use, including the reproduction, distribution, display, or transmission of any content on this site is strictly prohibited.

By using the Service, you consent to receive electronic communications from us, including emails and notifications. You can manage your communication preferences by unsubscribing from certain types of communications.
15. Indemnification
You agree to indemnify and hold harmless Joey Wallet Inc., its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Service.
16. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
17. Limitation of Liability
IN NO EVENT SHALL JOEY WALLET INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR ACCESS TO OR USE OF THE SERVICE.
18. Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read the Privacy Policy carefully to understand how we collect, use, and share your information.
19. Modifications to the Service
We reserve the right to modify or discontinue the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
20. Dispute Resolution; Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND JOEY WALLET HAVE AGAINST EACH OTHER ARE RESOLVED.
Generally. In the interest of resolving disputes between you and Joey Wallet in the most expedient and cost-effective manner, you and Joey Wallet agree that every dispute arising in connection with these Terms will be resolved by binding arbitration. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, may allow for more limited discovery than in court, and can be subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. This agreement to arbitrate disputes includes all claims arising out of or relating to any aspect of these Terms, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND JOEY WALLET ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.
Exceptions. Despite the provisions of the Section titled “Generally” above, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law; or (d) to file suit in a court of law to address an intellectual property infringement claim.
Arbitrator. Any arbitration between you and Joey Wallet will be governed by the Federal Arbitration Act and the Commercial Dispute Resolution Procedures and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by these Terms, and will be administered by the AAA. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by contacting Joey Wallet.
Notice; Process. A party who intends to seek arbitration must first send a written notice of the dispute to the other party by certified mail or by Federal Express (signature required) or, only if that other party has not provided a current physical address, then by electronic mail (“Notice”). Joey Wallet's address for Notice is: [email protected]. The Notice must: (a) describe the nature and basis of the claim or dispute; and (b) set forth the specific relief sought (“Demand”). The parties will make good faith efforts to resolve the claim directly, but if the parties do not reach an agreement to do so within 30 days after the Notice is received, you or Joey Wallet may commence an arbitration proceeding. During the arbitration, the amount of any settlement offer made by you or Joey Wallet must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. If the dispute is finally resolved through arbitration in your favor, Joey Wallet will pay you the highest of the following: (i) the amount awarded by the arbitrator, if any; (ii) the last written settlement amount offered by Joey Wallet in settlement of the dispute prior to the arbitrator’s award; or (iii) $1,000.
Fees. If you commence arbitration in accordance with these Terms, Joey Wallet will reimburse you for your payment of the filing fee, unless your claim is for more than $10,000, in which case thepayment of any fees will be decided by the AAA Rules. Any arbitration hearing will take place at a location to be agreed upon in San Francisco County, California, but if the claim is for $10,000 or less, you may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; (b) through a non-appearance based telephone hearing; or (c) by an in-person hearing as established by the AAA Rules in the county (or parish) of your residence. If the arbitrator finds that either the substance of your claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In that case, you agree to reimburse Joey Wallet for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.
No Class Actions. YOU AND JOEY WALLET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Joey Wallet agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
Modifications to this Arbitration Provision. If Joey Wallet makes any future change to this arbitration provision, other than a change to Joey Wallet's address for Notice, you may reject the change by sending us written notice within 30 days of the change to Joey Wallet's address for Notice, in which case your account with Joey Wallet will be immediately terminated and this arbitration provision, as in effect immediately prior to the amendments you reject will survive.
Enforceability. If the Section titled “No Class Actions” is found to be unenforceable or if the entire Section titled “Dispute Resolution; Arbitration” is found to be unenforceable, then the entirety of this Section will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described in the Section titled “Governing Law and Venue” will govern any action arising out of or related to these Terms.
21. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree that any legal action or proceeding between you and Joey Wallet Inc. for any purpose concerning these Terms or the parties’ obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in San Francisco County, California.
22. Termination
We may terminate your access to the Service at any time, with or without cause. You may also terminate your account at any time by discontinuing your use of the Service. Upon termination, all licenses and rights granted to you in these Terms will immediately cease.
23. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
24. Injunctive Relief
You agree that a breach of these Terms may cause irreparable harm to Joey Wallet Inc. and that Joey Wallet Inc. shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
25. California Residents
If you are a California resident, you may have certain rights under the California Consumer Privacy Act (CCPA). Please refer to our Privacy Policy for more information on your rights and how to exercise them.
26. Export Laws
You agree to comply with all applicable export laws and regulations. You may not use the Service if you are located in a country subject to a U.S. government embargo or that has been designated by the U.S. government as a "terrorist supporting" country, and you are not listed on any U.S. government list of prohibited or restricted parties.
27. Survival
The provisions of these Terms relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law shall survive any termination of these Terms.
28. Miscellaneous
These Terms constitute the entire agreement between you and Joey Wallet Inc. regarding your use of the Service. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect.
